Can you own a US business without a Green Card or citizenship?

Can you own a US business without a Green Card or citizenship? Generally, yes. Indian nationals can own many U.S. businesses, but ownership does not provide work authorization. This guide explains LLC and corporation options, S corporation limits, taxes, EIN rules and immigration concerns.

An Indian citizen generally does not need U.S. citizenship or a Green Card simply to own a U.S. business. U.S. tax rules recognize foreign-owned entities. But owning a company and being authorized to work for it are separate issues.

US business ownership for Indian citizens

Indian nationals can generally own interests in U.S. LLCs and corporations, subject to state law, licensing rules and the chosen structure. The IRS recognizes foreign-owned U.S. corporations and foreign-owned U.S. disregarded entities.

One important exception is the S corporation. IRS rules say an S corporation cannot have a nonresident alien shareholder. A foreign entrepreneur may therefore need another structure, such as an LLC or C corporation.

Do you need a Green Card to form an LLC?

A Green Card is not generally required simply to own an LLC. Business formation is handled mainly at the state level, and an LLC or corporation may need a registered agent in the state where it is formed.

Owners should also check state and local licenses, especially for regulated businesses such as liquor stores and restaurants.

Can a foreign owner get an EIN?

Yes. The IRS has EIN procedures for international applicants. If the responsible party has no SSN or ITIN and is ineligible for one, Form SS-4 instructions allow “foreign” or “N/A” in the applicable field.

Foreign-owned entities can also face extra tax reporting. Certain foreign-owned U.S. corporations and disregarded entities may need to file Form 5472.

Ownership does not mean permission to work

Forming an LLC, buying shares or purchasing a store does not automatically authorize an Indian national to work in the United States.

Anyone who plans to actively work for or manage the business while physically in the U.S. must have immigration status that permits that activity.

Does business ownership provide a US visa?

No visa or Green Card is created simply by owning a business. The State Department currently lists India as having no E-1 or E-2 treaty with the United States, so Indian nationality alone does not qualify a principal applicant for those treaty categories.

Other immigration pathways may apply, but they have separate requirements.

Indian entrepreneurs should plan business structure, tax reporting, licensing and immigration status together before investing or beginning active U.S. operations.
